Reseller Program Terms

(Supplement to General Terms of Service)

These Reseller Program Terms (“Reseller Terms”) apply when you (“Reseller”) purchase Services from GOZEN HOST LLC (“GOZEN HOST”) for resale to your own customers (“End Customers”). They supplement and incorporate the General Terms of Service, Acceptable Use Policy (AUP), Service Level Agreement (SLA), Privacy Policy, and Data Processing Addendum (DPA). If there is a conflict, these Reseller Terms control for reseller-related matters.

1. Account & Eligibility

Reseller must maintain an active account in good standing. You are solely responsible for your business registrations, tax obligations, and compliance with applicable laws and sanctions regimes.

2. Scope & White-Labeling

Services may be offered on a white-label basis. You may not misrepresent yourself as GOZEN HOST or imply joint venture, partnership, or agency. Use of GOZEN HOST names, marks, or logos requires prior written consent.

3. End-Customer Relationship

Reseller is the sole counterparty to End Customers. GOZEN HOST has no contractual relationship with End Customers and has no obligation to provide them direct support, credits, or refunds unless a managed tier expressly provides otherwise.

4. Support Boundaries

GOZEN HOST provides support only to Reseller for the covered platform per the Support Scope. Reseller provides first-line support to End Customers. GOZEN HOST may contact End Customers only to investigate abuse/security or to facilitate data export on termination.

5. Ordering, Billing & Taxes

Reseller is liable to GOZEN HOST for all fees, regardless of End-Customer payment status. Prices, payment terms, late fees, and suspension for non-payment follow the General Terms. Reseller is responsible for all applicable taxes, except those based on GOZEN HOST’s net income.

6. Resource Allocation & Fair Use

Services, limits, and allocations (CPU, RAM, storage, I/O, inodes, bandwidth, emails, IPs, etc.) may not be circumvented. Overselling is prohibited unless explicitly permitted by the specific product. GOZEN HOST may rate-limit or suspend workloads that jeopardize platform stability.

7. Acceptable Use & Email

Reseller must ensure End-Customer compliance with the AUP. Unsolicited bulk email, snowshoeing, poor list hygiene, or use causing blacklisting is prohibited. GOZEN HOST may suspend accounts or withdraw IP space to protect reputation and network integrity.

8. Security & Abuse

Reseller must promptly address abuse notices, vulnerabilities, malware, phishing, or law-enforcement requests. GOZEN HOST may isolate or suspend affected services to mitigate risk.

9. Data Protection

For personal data processed via the Services, the DPA governs roles and obligations. Reseller must publish a lawful privacy notice and obtain required consents from End Customers.

10. Backups & Data Retention

Unless a plan explicitly includes “Managed Backups,” Reseller is solely responsible for backups and data retention. Any courtesy backups are not guaranteed and are not a substitute for Reseller’s own backups.

11. Licensing & Third-Party Software

Use of control panels, OS images, and add-ons is subject to the relevant EULAs. Reseller must ensure End-Customer compliance and may not share or transfer licenses except as permitted.

12. SLA Credits

Any SLA remedies are issued only to the Reseller account and may not be assigned to End Customers. Reseller’s pass-through of credits is at Reseller’s discretion.

13. IP Addresses & Domains

IPs are leased, not owned, and must be used in accordance with registry/RIR rules and accurate WHOIS data. GOZEN HOST may re-number or reclaim IPs with reasonable notice. Domain services (if any) are subject to separate registrar terms.

14. Marketing Claims

Reseller is responsible for truthful marketing and must not make guarantees that exceed the Services or contradict GOZEN HOST policies (e.g., “unlimited” where limits apply).

15. Migrations

Any migration assistance is a best-effort service without warranty and may be subject to limits or fees. Reseller must validate data integrity post-migration.

16. Suspension & Termination

GOZEN HOST may suspend or terminate Services for material breach (including AUP violations or non-payment). Upon termination, GOZEN HOST may provide a limited window for data retrieval where feasible; Reseller must coordinate any End-Customer notices and exports.

17. Indemnity

Reseller will defend and indemnify GOZEN HOST against claims arising from (a) Reseller’s or End Customers’ use of the Services, (b) Reseller’s marketing or representations, and (c) violations of the AUP, laws, or third-party rights.

18. Changes

GOZEN HOST may modify these Reseller Terms, policies, features, or pricing consistent with the General Terms’ change procedure. Continued use after effective date constitutes acceptance.
